1. Acceptance of Terms

By accessing and using the FIDE5 website and services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Description of Services

FIDE5 provides a matching platform that connects businesses ("Clients") with pre-screened virtual finance and accounting professionals ("Virtual Professionals" or "VPs"). FIDE5 facilitates introductions and engagements but is not a party to the employment or contractor relationship between Clients and VPs unless explicitly stated in a separate agreement.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into agreements on behalf of your business to use our services. By using FIDE5, you represent and warrant that you meet these requirements.

4. User Obligations

You agree to: (a) provide accurate and complete information when using our services; (b) use our services only for lawful purposes; (c) not misrepresent your identity, business, or requirements; (d) maintain the confidentiality of any login credentials or account information; and (e) notify us immediately of any unauthorized use of your account.

5. Intellectual Property

All content on the FIDE5 website, including text, graphics, logos, images, and software, is the property of FIDE5 or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

6. Virtual Professionals

FIDE5 takes reasonable steps to screen and verify the credentials of Virtual Professionals in our network. However, FIDE5 does not guarantee the performance, accuracy, or outcomes of any VP's work. Clients are responsible for supervising VPs, reviewing deliverables, and ensuring the quality of work meets their requirements.

7. Payment & Fees

Service fees, payment terms, and billing schedules are outlined in your specific service agreement or plan documentation. All fees are due as specified. FIDE5 reserves the right to modify pricing with reasonable notice to active clients.

8. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of using FIDE5 services. This obligation survives termination of the engagement.

9. Limitation of Liability

To the maximum extent permitted by law, FIDE5 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you to FIDE5 in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FIDE5 and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of our services or your violation of these Terms.

11. Termination

Either party may terminate an engagement or account in accordance with the terms of the applicable service agreement. FIDE5 reserves the right to suspend or terminate access to our services at any time for violation of these Terms or for any other reason at our sole discretion.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.

13. Changes to Terms

FIDE5 reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms.
